These Terms and Conditions ("Terms") govern your participation in receiving a one-time text message from Vandra, LLC ("we," "us," or "our") related to reminders you create for products, collections, shopping carts, checkouts, discount codes and other information while browsing the sites of our customers. Please read these Terms carefully before providing your mobile phone number. By providing your mobile phone number, you agree to these Terms.

1. Consent to Receive Text Messages

By providing your mobile phone number, you are expressly consenting to receive a series of text messages from us at the number you provided, for the express purpose outlined in the form where you shared your mobile phone number. You acknowledge that these messages may be sent using an automatic telephone dialing system or other automated technology. You understand that consent to receive this text message is not required as a condition of purchasing any goods or services from us or from our customer.

You represent that you are the account holder for the mobile telephone number(s) that you used to subscribe to the program. You are responsible for completing the opt-out process or notifying us immediately if you change, transfer, or intend to stop using the mobile telephone number used to subscribe to the program. You may notify us of a number change by contacting us as provided under Contact Us below. Your agreement to do so is a material part of these terms and conditions.

You agree to indemnify us in full for all claims, expenses, and damages related to or caused in whole or in part by your failure to complete the opt-out process or notify us if you change, transfer, or intend to stop using your telephone number including, but not limited to, all claims, expenses, and damages related to or arising under the Telephone Consumer Protection Act.

2. Message Content

The text messages you receive will contain:

• Confirmation of your request for a reminder

• Information related to products, collections, shopping carts, checkouts, discount codes and other information for which you have expressly requested receiving a reminder.

3. Message Frequency

You will receive a text message confirmation your request for a reminder and a text message containing a reminder as outlined in the form on the date you have selected.

4. Message and Data Rates

Message and data rates may apply. You are responsible for any charges assessed by your mobile carrier for receiving text messages. Please consult your mobile carrier's pricing plan for details.

5. Opt-Out

After receiving the confirmation message and the reminder message, you will not receive any further text messages from us related to this specific campaign unless you specifically opt-in to future communications. If you wish to opt-out of receiving any scheduled reminders, simply reply STOP at any point in time.

6. Privacy

8. Changes to Terms

9. Governing Law

This Agreement and any action related thereto will be governed and interpreted by and under the laws of the State of Ohio, without giving effect to any conflicts of laws principles that require the application of the law of a different jurisdiction. You hereby expressly consent to the personal jurisdiction and venue in the state and federal courts located in Cleveland, Ohio for any lawsuit arising from or related to this Agreement. You may not bring any suit or action against Vandra for any reason whatsoever more than one (1) year after the cause of action accrued.

10. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the one-time text message program and supersede all prior or contemporaneous communications and proposals, whether oral or written.
